WOOJIN ENGINEERING CO.,LTD. WEB SITE (THE “WEB SITE”) IS OWNED OR CONTROLLED BY WOOJIN ENGINEERING CO.,LTD. (“WOOJIN ENGINEERING”). THIS PAGE IS THE AGREEMENT STATING THE TERMS AND CONDITIONS UPON WHICH YOU MAY USE THIS WEB SITE (THE “AGREEMENT”). PLEASE READ IT CAREFULLY BEFORE ACCESSING AND/OR USING THE WEB SITE.  ACCESS TO AND/OR USE OF THE WEB SITE WILL CONSTITUTE YOUR EXPRESS AND UNCONDITIONAL AGREEMENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. 1.  Right of Woojin Engineering to Change Agreement

Woojin Engineering reserves the right, in its sole discretion from time to time, to change, modify, add or remove any portion of this Agreement, in whole or in part, at any time and such modifications shall be effective immediately upon posting of the modified Agreement on the Web Site. You agree to review this Agreement periodically to be aware of such modifications and your continued use of the Web Site shall be deemed your conclusive acceptance of the modified Agreement.

2.  Right of Woojin Engineering to Change, Discontinue or Restrict Access to Web Site

Woojin Engineering, in its sole discretion, may change, suspend or discontinue any aspect of the Web Site at any time, including the availability of any Web Site feature, database or content, and may terminate this Agreement at any time. Woojin Engineering may also impose limits on certain features and services or restrict your access to parts or all of the Web Site without notice or liability. Woojin Engineering reserves the right, in its sole discretion, to correct any errors or omissions in any part of the Web Site.

3.  Right of Access

This Agreement provides you with a non-exclusive grant of access to and use of the Web Site and the Internet links contained on the Web Site at the sole will and discretion of Woojin Engineering and is subject to your continuing compliance with the terms and conditions of this Agreement. You are entitled solely to those privileges explicitly set forth in this Agreement.

4.  Not a License

This Agreement is not a transfer or a license of any of Woojin Engineering’s rights or its content or the content of third parties displayed on or accessed through the Web Site.

5.  Links and Pointers

This Web Site may be linked to other sites on the World Wide Web or Internet which are not under the control of or maintained by Woojin Engineering. Such links do not imply or constitute an endorsement by Woojin Engineering of such linked sites. You acknowledge that Woojin Engineering is providing these links to you only as a convenience. You further agree that Woojin Engineering is not responsible for the content of such sites.  When you click on links that take you to a third party web site, you will be subject to the policies of the third party web site and any applicable agreement posted thereon. Woojin Engineering will not be responsible for the actions of third parties. You should read the posted policies and agreements whenever interacting with any web site.

6. Ownership

All information, documents, trademarks, logos, graphics, videos and images (the "Materials") in any form of media whatsoever provided on the Web Site are copyrighted or trademarked and are the property of Woojin Engineering, its licensors, and the respective distributors, manufacturers and other third parties displayed on the Web Site.  All Materials are protected by Korean and worldwide copyright, trademark and other intellectual property laws and treaty provisions. Nothing contained on the Web Site should be considered as granting, by implication, estoppel or otherwise, any license or right to use any trademarks, logos or other names including, but not limited to, those identifying Woojin Engineering or the products and services displayed on the Web Site, without the express written consent of Woojin Engineering or such third party that may own such trademarks, logos and other names displayed on the Web Site. You agree to abide by all additional copyright notices, information and restrictions contained in any Materials and in any content accessed through the Web Site.

7. License

Woojin Engineering grants you a limited, non-exclusive, revocable right to display, printdownload or circulate the Materials for informational and non-commercial use only. You agree not to use the materials for any other purpose without the prior written consent of Woojin Engineering. You acknowledge and agree that, except as set forth herein, you have no right to modify, edit, alter or enhance any of the Materials in any manner. This limited license terminates automatically, without notice to you, if you breach any of the terms of this Agreement. Upon termination you agree to immediately destroy any printed or downloaded Materials.
You agree not to "frame" or "mirror" any Materials or third party content contained on the Web Site on any other server or internet-based device without the advanced written permission of Woojin Engineering or its licensors.

8.  No Endorsement by Woojin Engineering of Web Site  Information

You understand that Woojin Engineering does not in any way operate or control any information or content regarding the products or services of distributors, manufacturers, licensors or other third parties displayed on the Web Site nor does Woojin Engineering represent or endorse the accuracy or reliability of any advice, opinion, statement or other content (including, without limitation, information regarding product details, specifications, prices and functions) of any distributor, manufacturer, licensor or other third party that may be displayed onthe Web Site. You acknowledge that any reliance upon any such opinion, advice, statement, or content shall be at your sole risk.  You agree that Woojin Engineering shall not be liable for any cost or damage arising either directly or indirectly from any such opinions, advice, statement and other content.

9.  LIMITATION OF LIABILITY

ALL GOODS AND SERVICES THAT MAY BE ORDERED FROM THIS WEB SITE ARE PROVIDED ON AN "AS IS" AND “AS AVAILABLE” BASIS AND ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DENIED AND DISCLAIMED.  WOOJIN ENGINEERING MAKES NO REPRESENTATIONS, WARRANTIES, COVENANTS OR GUARANTEES AS TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY OF THE CONTENT OF THIS WEB SITE, OR ANY GOODS OR SERVICES THAT MAY BE PROVIDED OR SOLD IN ANY CONNECTION WITH THIS WEB SITE.  ANY REPRESENTATIONS, WARRANTIES OR COVENANTS WITH RESPECT TO ANY GOODS OR SERVICES REFERRED TO IN THIS WEB SITE SHALL BE SUBJECT TO, GOVERNED BY, AND AS STATED IN THE APPLICABLE CONTRACT GOVERNING THE PROVISIONS OF SAME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WOOJIN ENGINEERING OR WOOJIN ENGINEERING’S OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS BE LIABLE TO YOU OR ANY THIRD-PARTY CLAIMING THROUGH YOU FOR ANY DIRECT, INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, WHETHER ARISING OUT OF THE USE OF OR INABILITY TO USE THE WEB SITE, OR ANY CONTENT OR TRANSACTIONS ENTERED INTO ON THE WEB SITE, OR FOR BREACH OF THIS AGREEMENT OR ANY WARRANTY OR CONDITIONS IN TORT EVEN IF WOOJIN ENGINEERING HAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

10.  INDEMNITY

YOU UNDERTAKE AND AGREE TO ENSURE THAT YOU AND ALL PERSONS YOU AUTHORIZE TO USE THE WEB SITE HAVE READ AND WILL COMPLY WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU ARE SOLELY RESPONSIBLE AND LIABLE FOR ACTIONS WHICH ARE IN CONTRAVENTION OF THIS AGREEMENT OR ANY APPLICABLE LAW. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS WOOJIN ENGINEERING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE ATTORNEY'S FEES, RESULTING FROM ANY VIOLATION OF THIS AGREEMENT OR ANY ACTIVITY RELATED TO THE WEB SITE, INCLUDING NEGLIGENT OR WRONGFUL CONDUCT BY YOU, BY ANY PERSONS ALLOWED BY YOU TO ACCESS THE WEB SITE OR BY ANY OTHER PERSON ACCESSING THE WEB SITE OR SERVICES PROVIDED PURSUANT TO THE WEB SITE. THE PROVISIONS OF THIS PARAGRAPH ARE FOR THE BENEFIT OF WOOJIN ENGINEERING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS. EACH OF THESE ENTITIES OR INDIVIDUALS SHALL HAVE THE RIGHT TO ASSERT AND ENFORCE THESE PROVISIONS DIRECTLY AGAINST YOU ON ITS OWN BEHALF.

11.  Local Laws

Woojin Engineering controls and operates the Web Site from its headquarters in Korea and makes no representations that the Materials are appropriate or will be available for use in international locations If you use the Web Site from outside Korea, you are entirely responsible for compliance with applicable local laws, including but not limited to the export and import laws of other countries in relation to the Materials and third party content.

12.  Jurisdiction

Any action related to this Agreement will be governed by the laws of Korea applicable therein. You agree to the jurisdiction of the courts located in Korea for the resolution of all disputes arising from or related to this Agreement and/or your use of the Web Site.

13.  Termination

If you violate the terms of this Agreement, Woojin Engineering reserves the right to terminate your access to the Web Site  without further notice or explanation.

14.  Waiver

The failure of Woojin to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Woojin Engineering in writing. This Agreement comprises the entire agreement between you and Woojin Engineering and supersedes all prior or contemporaneous negotiations, discussions or agreements, if any, between the parties regarding the subject matter contained herein.

15.  Modifications, Improvements and Amendments

You agree that Woojin Engineering and its licensors may make improvements and/or changes in the services and prices described in the Web Site, if any, at any time without notice, and further agree that Woojin Engineering can revise this Agreement, including any operating rules, policies and procedures, including the Woojin Engineering Privacy Statement at any time without notice by updating this posting. Your continued use of the Web Site after such modifications have been made constitutes your acceptance of such revised Agreement.

16. Allocation of Risk

The terms of this Agreement that limit liability reflect an informed voluntary allocation of risk. This allocation represents a material part of this Agreement. Each party agrees that the limitations of liabilities set out in this Agreement are fair and reasonable in the commercial circumstances of this Agreement.
